New Company Secretary opportunity working with a top performing insurance broker. Reporting to the General Counsel, you will be responsible for all aspects of the company secretarial function.
Key Responsibilities:
• Advise on and ensure compliance with company secretariat and governance requirements.
• Establish and review Terms of Reference for the Board and committees.
• Maintain procedures for shareholder approval, authority delegation, and signing across the Group.
• Develop and maintain pro-forma governance materials for the Board and committees.
• Establish and maintain the Board Corporate Governance Framework.
• Provide oversight and support to management and committee secretaries.
• Assist the Board Chair with board composition, skills, procedures, and governance arrangements.
• Coordinate director induction, onboarding, and training programs.
• Manage and embed Company Secretariat policies.
• Support and coordinate Board self-effectiveness reviews.
• Lead continuous improvement initiatives for corporate governance.
• Monitor company secretariat and governance matters, advising the Board and Executive as needed.
• Plan meetings, set agendas, and manage the forward calendar.
• Compile, review, and distribute papers for governance purposes.
• Attend Board sub-committees and meetings for minuting.
Key Skills and Experience:
Company Secretarial/ Deputy experience in a regulated environment with knowledge of FCA and or Lloyd’s requirements/ regulations.
