New Deputy Head of Company Secretariat opportunity with a top-performing Global Insurer. An Reporting into the Head of Corporate Governance & Company Secretariat, you will manage your own portfolio of boards and committees and also support in monitoring and developing the corporate governance frameworks for the Life and P&C business. This will involve regular contact with Executive Management, Directors and senior stakeholders.
Key Responsibilities:
• Provide a full company secretarial service to a portfolio of regulated companies and committees.
• Deputise for the Head of Corporate Governance & Company Secretariat as required.
• Line management and mentoring/coaching members of the team.
• Provide support and advice to the UK Executive and other key stakeholders on compliance with governance requirements and governance best practice.
• Lead on governance improvement projects and initiatives.
• Project support – be a key part of business projects that impact on the team, its remit or operate across our legal entity structure (e.g. SMCR, Legal Entity Simplification, Acquisitions / Divestments etc).
• Identify new legislation, regulations or guidance that impacts on our entities or the services we provide.
• Maintain systems and processes to support the effective operation of the corporate governance frameworks, ensuring they remain fit for purpose and serve the requirements of the UK business.
• Deliver Director induction/refresher training.
• Provide Corporate Governance training and updates to the business and key stakeholders.
• Provide advice and information on the corporate structure.
Qualifications/ Experience:
• Qualified Solicitor and/or Chartered Secretary (or equivalent)
• Proven experience of designing, maintaining and delivering corporate governance frameworks and initiatives, including implementation of new requirements in accordance with legal and regulatory requirements.
• Experienced in company secretarial law and practice.
• Expert knowledge of relevant corporate law and governance and its application.
